Software License Agreement
IMPORTANT: PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("License") CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS STATED BELOW. IF YOU DO NOT AGREE WITH THE TERMS OF THIS LICENSE, PROMPTLY RETURN THE UNUSED SOFTWARE AND ALL OTHER ITEMS TO THE POINT OF PURCHASE FOR A FULL REFUND.
1. QCTest CDMA Air Interface Tester ("CAIT") Software License and Restrictions on Use. This License is proof of the right to exercise the rights granted herein and must be retained by Licensee. QUALCOMM Incorporated ("QUALCOMM") hereby grants you ("Licensee") a non-exclusive, limited license to use the QCTest CAIT software (the "Software"), and the related documentation to collect and view real-time data regarding CDMA over-the-air operations and to access non-volatile memory locations within the CDMA phone. The Licensee owns the CD ROM(s) on which the Software is recorded, but QUALCOMM retains full rights and title to the Software and related documentation. If Licensee is a corporation or similar business or commercial entity, the terms and conditions of this License are intended to be binding on Licensee's employees. Licensee shall not, without the prior written consent of QUALCOMM, (i) alter, modify, translate, or adapt any Software or create any derivative works based thereon; (ii) copy any Software (except that you may make one copy for archival purposes); (iii) assign, sublicense or otherwise transfer the Software in whole or in part; (iv) use the Software except as specifically contemplated in this License; (v) combine or merge any portion of the Software with any other software; or (vi) disclose the Software to any third party. The entire right, title and interest in the Software shall remain with QUALCOMM. The Software contains copyrighted material, trade secrets and other proprietary material, and Licensee shall not remove any copyright notices or other legends from the Software or any accompanying documentation. Licensee shall use the Software furnished by QUALCOMM solely in accordance with this License, and Licensee shall not, directly or indirectly, disassemble, decompile, reverse engineer, or analyze the physical construction of, the Software or any component thereof for any purpose. Notwithstanding, if the Software is lawfully acquired outside of the United States within a jurisdiction which is a member of European Economic Community (EEC) subject to the EEC Council Directive of May 14, 1991, Licensee agrees that within that jurisdiction it shall not, and shall not allow any party on Licensee's behalf, to attempt to reverse engineer or decompile the Software into another computer language, except as expressly and specifically provided in the EEC Council Directive of May 14, 1991. Any and all information obtained during such lawful reverse engineering and/or decompiling activities, including but not limited to, the organization, logic, algorithms and processes of the Software, shall be deemed to be the confidential and proprietary information of QUALCOMM or its Licensors. Licensee shall not make copies of the copyrighted Software documentation without the prior written permission of QUALCOMM.
This License is not a sale of the Software.
2. Limited Warranty on CD ROM (when applicable). QUALCOMM warrants the CD ROM on which the Software is recorded to be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of purchase. QUALCOMM's entire liability and Licensee's exclusive remedy will be replacement of the CD ROM not meeting QUALCOMM's limited warranty and which are returned to the place of purchase within such warranty period. QUALCOMM will have no responsibility to replace a CD ROM damaged by accident, abuse or misapplication. ANY IMPLIED WARRANTIES ON THE CD ROM INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF PURCHASE.
3. Disclaimer of Warranty. Licensee expressly acknowledges and agrees that the use of the Software and its documentation is at Licensee's sole risk. The Software and documentation are provided "AS IS" and without warranty of any kind. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, QUALCOMM AND QUALCOMM'S LICENSOR(S) EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. QUALCOMM DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. FURTHERMORE, QUALCOMM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR ITS DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY QUALCOMM OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY.
4. Limitation of Liability. IN NO EVENT SHALL QUALCOMM BE LIABLE TO YOU FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE, OR THE DELIVERY OR FAILURE TO DELIVER, THE SOFTWARE, EVEN IF QUALCOMM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL REMAIN IN FULL FORCE AND EFFECT REGARDLESS OF WHETHER YOUR REMEDIES HEREUNDER ARE DETERMINED TO HAVE FAILED OF THEIR ESSENTIAL PURPOSE. FURTHER, THE ENTIRE LIABILITY OF QUALCOMM, AND THE SOLE AND EXCLUSIVE REMEDY OF YOU, FOR ANY CLAIM OR CAUSE OF ACTION ARISING HEREUNDER (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SOFTWARE WHICH IS THE SUBJECT OF SUCH CLAIM OR CAUSE OF ACTION.
5. Termination. This license is effective until terminated. You may terminate this license at any time by destroying all copies of the Software and its documentation. This license will terminate immediately without notice from QUALCOMM if you fail to comply with any provision of this License. Upon termination you must destroy all copies of the Software and its documentation.
6. Confidentiality. You acknowledge that the Software, all technical documentation delivered to you by QUALCOMM hereunder, and all other information relating to the design, development, configuration, use, operation and maintenance of the Software constitutes confidential or proprietary information of QUALCOMM (referred to as "Confidential Information"). You shall not duplicate, use other than in accordance with this License, or disclose to any third person any Confidential Information.
7. Assignment. nor delegate any obligation to be performed without QUALCOMM's prior written consent.
8. Applicable Law. This License shall be governed by and construed in accordance with the laws of the United States and the State of California, excluding the U.N. Convention on International Sale of Goods, and without regard to conflict of laws principles. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in San Diego County, California, and the prevailing party in any legal proceeding shall be entitled to recover its reasonable attorneys' fees incurred in connection therewith. If for any reason a court of competent jurisdiction finds any provision of this License, or portion thereof, to be unenforceable, that provision of the License shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this License shall continue in full force and effect.
9. Export; Re-export. This Software and/or technology is controlled by the U.S. Government. Licensee shall comply with all applicable U.S. export control laws pertaining to the Software, accompanying documentation, and/or any associated "technology" furnished to you by QUALCOMM. Licensee will not directly or indirectly export or re-export any Software, accompanying documentation, or "technology" without obtaining appropriate authorization from the U.S. Government.
10. Miscellaneous Provisions. No addition to or modification to this License shall be effective unless made in writing and signed by the respective representatives of QUALCOMM and Licensee. Any delay or failure to enforce at any time any provision of this License shall not constitute a waiver of the right thereafter to enforce each and every provision thereof. If any of the provisions of this License is determined to be invalid, illegal, or otherwise unenforceable, the remaining provisions shall remain in full force and effect. The rights and remedies expressly provided herein are not exclusive, but are cumulative and in addition to any other rights and remedies available at law or in equity. The rights and obligations which by their sense and context are intended to survive any termination or expiration of the License shall so survive. By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
This Technology is controlled by the United States Government. Diversion contrary to U.S. Law prohibited.
